Lowe’s announced Wednesday it will acquire Foundation Building Materials (FBM) for $8.8 billion. This is a massive strategic move to expand its business with professional contractors. As a result, the deal reshapes the landscape for building material suppliers. By acquiring FBM, a leading distributor of key materials like drywall and steel studs, Lowe’s aims to become a one-stop shop for both DIY customers and professional builders.

What is Foundation Building Materials (FBM)?

Foundation Building Materials is a powerhouse in the professional construction supply chain. It’s not a typical retailer. Instead, FBM specializes in distributing interior building products directly to contractors. Therefore, when Lowe’s purchases FBM, it isn’t just buying stores. It’s acquiring a massive logistics network and a loyal B2B customer base.

A Strategic Push to Win the Pro Market

This acquisition is a direct strategic move to better compete with rival Home Depot. Historically, Home Depot has held a stronger position with professional customers. The “Pro” market is incredibly valuable because contractors spend significantly more than the average DIY homeowner. Consequently, buying FBM gives Lowe’s immediate credibility and scale in the pro sector. It also allows Lowe’s to service larger construction projects and integrate new specialty products, strengthening its offerings for all trade professionals.

Deal Details and What’s Next

The $8.8 billion all-cash transaction should close in the fourth quarter of 2025, pending regulatory approvals. Currently, private equity firms American Securities and CD&R own FBM and have overseen its rapid growth. FBM’s CEO, Ruben Mendoza, expressed excitement about the deal. He stated, “I am immensely grateful for what our team has accomplished and am excited about the opportunities ahead as we join forces with Lowe’s.” Until the deal finalizes later this year, both companies will continue to operate independently.
